1. Agreement

Patch MCP (the “Service”) is provided by Manu Labs, LLC (“Manu Labs, LLC”, “we”, “us”). By verifying a phone number with the Service, connecting an AI agent or other software to it, placing a call through it, or otherwise using staging.patchmcp.com, you (“you”, the “user”) agree to these Terms of Use (the “Terms”) and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business, and “you” includes it.

2. The service

The Service is a hosted Model Context Protocol (MCP) server. When you connect an AI agent or MCP client (such as Grok, Claude, ChatGPT, Claude Code, Cursor or Codex) to it and ask that agent to make a call, the Service places an outbound telephone call from your verified phone number to a number in the United States or Canada, runs a real-time AI voice assistant that speaks with whoever answers in pursuit of the objective your agent supplied, and returns the call's status, transcript, recording and a structured result to your agent and to your account pages. Your agent can also text you at your verified number, pictures included, and read what you text back (section 4).

The Service is intended for ordinary personal and business errands: booking or changing reservations and appointments, asking about hours, prices, availability or order status, following up on a request, and similar tasks. It is not an emergency service and must never be used to contact emergency services.

3. Your account

There is no separate sign-up. Your account is the phone number you verify with a one-time code we text you, and that number is shown as the caller ID on every call placed through your account. You represent that you own or are authorized to use that number, that it is a mobile number capable of receiving text messages, and that you will keep it under your control for as long as it is registered with the Service. Should the number pass out of your control, email [email protected] so we can detach it from the account.

Your agent may hand you private, signed links to your account, call pages and checkout. Anyone holding such a link can act as you until it expires, so treat those links like passwords. You are responsible for all activity on your account, including by anyone you share a link, a session or a connected agent with. You can disconnect any connected app at any time from your account page.

4. Text messages

Requesting a verification code authorizes that code only. Ongoing agent updates and service notices require separate, optional SMS consent; accepting these Terms does not subscribe you. There are two kinds of messages:

  • Verification codes. The one-time code that connects your number, and any later code sent to confirm a request, such as signing in from a new browser, removing your account, or putting a number on the do-not-call list. These come from a number our telephony provider chooses.
  • Agent updates and service notices. Messages a connected AI agent sends you through the Service — how a call turned out, an answer it was waiting for, a question it needs settled, sometimes with a picture attached — and our own notices about your account, such as a change to these Terms, to the Privacy Policy or to prices. These come from Patch MCP's toll-free number, (833) 680-0780, and each one is prefixed with Patch MCP so you can see where it came from.

Agent updates go to the verified number on your account and nowhere else: there is no recipient to choose, and an agent that asks to text anyone else is refused. You can text that number back, pictures included, and what you send is passed to your agent the next time it asks, which is how an agent hears your reply. Treat it as a channel to your own agents rather than a way to reach us; for support, email [email protected]. Messages are part of your plan; section 10 says how they are counted.

How often you are texted depends on how you use the Service and on how much your agents have to tell you. Message and data rates may apply, and carriers are not liable for delayed or undelivered messages. Reply STOP to any message to stop agent updates and service notices; we record that opt-out and honour it until you text START. HELP is answered too, and support is [email protected] either way. Opting out does not stop verification codes, because without them you could not prove the number is yours or sign in.

5. Your responsibility for calls

You are responsible for every call placed through your account. This includes calls placed by any AI agent, MCP client, automation or other software you have connected, whether or not you reviewed, approved or were aware of the specific objective, destination number, context or timing before the call was placed, and whether the agent acted on your explicit instruction or on its own initiative. Calls go out from your number and in your name; as between you and Manu Labs, LLC, they are your calls.

In particular, you are responsible for:

  • Lawfulness. Ensuring every call complies with all laws that apply to you, to the person called and to the place they are called, including the U.S. Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, federal and state Do-Not-Call rules, Canada's Unsolicited Telecommunications Rules and CASL, state and provincial call-recording and consent laws, and any rules on automated or artificial-voice calls.
  • The objective and context. Everything your agent tells the voice assistant to say, ask for, disclose or agree to. The voice assistant will pursue the objective it is given; you must make sure that objective is honest, lawful and something you actually want done.
  • Consent of the person called. Having whatever consent or relationship the law requires before calling a number, and for the call being recorded (see section 7).
  • Commitments made on the call. Reservations, orders, appointments, cancellations, callbacks and other arrangements the voice assistant makes within its objective are made on your behalf and bind you as if you had made them yourself. Charges the assistant is told not to authorize are still your responsibility if your objective or context led to them.
  • Consequences. Any complaint, claim, fine, penalty, chargeback or damage arising from a call placed through your account.

The safeguards described in section 8 exist to reduce misuse. They do not shift any of this responsibility to Manu Labs, LLC, and the fact that a call passed screening or was placed at all is not a representation by us that it was lawful or appropriate.

6. Acceptable use

You may not use the Service, or allow an agent connected to your account to use it, to:

  • harass, intimidate, threaten, stalk or abuse anyone, or place prank or nuisance calls;
  • deceive anyone, impersonate a specific real person, business, government body, police, bank or other authority, or claim or imply that the caller is human;
  • commit or facilitate fraud, scams or social engineering, or obtain passwords, one-time codes, card numbers, account details or other credentials;
  • collect or verify private information about a third party without their consent;
  • run any campaign of unsolicited calls, whether for sales, lead generation, fundraising, polling, political or advocacy purposes, debt collection or anything else placed in volume rather than as an individual errand;
  • contact emergency services, crisis lines, hospitals or other critical services other than for a genuine, lawful reason of your own;
  • place calls that are sexual, obscene or otherwise unlawful, or that instruct the voice assistant to conceal that it is an AI or that the call is recorded;
  • call a number on the do-not-call list, or work around any block, limit or screening decision;
  • reverse-engineer, probe, overload or interfere with the Service, or access it by any means other than a supported MCP client or the pages at staging.patchmcp.com;
  • resell or provide the Service to third parties as your own service without our written agreement.

7. Recording and disclosure

Every call placed through the Service is recorded and transcribed. As soon as a person answers, the voice assistant identifies itself as an AI acting for you (using the name on your account) and says that the call is being recorded. It will confirm that it is an AI whenever it is asked. Should the person prefer not to continue, whether because of the AI or the recording, the assistant ends the call; should they ask for no more calls, it ends the call and their number goes on the do-not-call list for the whole Service.

By using the Service you consent to this recording, and you are responsible for the recording being lawful wherever the person you call is located. Some jurisdictions require every party's consent to record; the assistant's opening disclosure is designed to obtain it, but you must not use the Service where that disclosure would be insufficient.

8. Safeguards and limits

To protect the people who answer, the Service applies limits that you agree to and may not circumvent. We may change them at any time. Currently:

  • calls go only to United States and Canadian numbers, and never to emergency, premium-rate or service-code ranges or to numbers on the do-not-call list;
  • calls may be placed at any time of day and any day of the week, one at a time per account, with total volume governed by your plan; you are responsible for fair use, including calling at times that are reasonable for the person called; free calls last at most 3 minutes and a paid call ends when the plan's usage allowance is spent; text and picture messages go only to your own verified number, with their volume governed by your plan too;
  • an automated reviewer screens each objective before a number is dialed and rejects requests that appear to violate section 6. Screening is automated, is not perfect, and may reject legitimate requests or allow improper ones; if screening is unavailable we may place or refuse the call at our discretion;
  • we may end any call in progress, refuse any call, or block any number, at any time and without notice, where we believe a call is unlawful, abusive or against these Terms.

9. AI limitations

The voice assistant is an automated system with the limitations of current speech and language models. It can pick up words wrongly, draw the wrong conclusion, state something inaccurate, leave an objective unfinished, summarise a call incorrectly, or agree to something within the latitude your objective allowed but that you did not intend. Transcripts and structured results are produced automatically and can contain mistakes. Confirm directly with the other party any booking, price, time, commitment or fact you intend to act on. Do not use the Service for anything where an error could cause injury, legal exposure, or significant financial loss, and never for emergencies.

10. Plans, billing and cancellation

Free calls and messages. New accounts receive 5 free calls, each capped at 3 minutes, and 10 free messages (texts or picture messages your agent sends you). A free call is used only when someone answers and speaks; calls that go unanswered, reach a busy signal or voicemail, or end without the other party saying anything are not counted. A free message is used once the carrier accepts it; what you text back is not counted. We may change or withdraw the free allowances for new accounts at any time.

Paid plans. The paid plans are Starter ($10 a month) and Pro ($25 a month, with 3× Starter's usage allowance). Each is a monthly subscription that includes an allowance of usage per billing period, which calls and text messages both draw from. Usage is metered on what each call or message costs us to carry: an answered call counts a fixed amount plus an amount per connected minute, in whole minutes rounded up with a one-minute minimum, and unanswered calls are not metered; a text counts per SMS segment; a picture message counts as one message, at about twice a text, and so does a picture you text back, since it costs us the same to carry. Your account page shows the percentage of the period's allowance that is left. Unused allowance does not roll over. A call cannot be longer than the allowance left pays for, and a text is refused when the allowance will not cover it. Prices are in U.S. dollars and exclude any taxes we are required to collect.

Payment. Payments are processed by Stripe. By subscribing you authorize us to charge your payment method the plan price at the start of each billing period until you cancel. Moving from a lower plan to a higher one takes effect immediately, and the difference for the rest of the period is prorated and charged at that time. Moving to a lower plan takes effect at the end of the period already paid for: the higher plan's allowance stays until then, and nothing is refunded for it. If a payment fails we may retry it and may suspend calling until it succeeds.

Cancellation and refunds. You can cancel or change your plan at any time from the billing portal on your account page. A canceled plan, and its allowance, stay active until the end of the period already paid for, and no refund is given for the remainder of a period or for unused allowance, except where the law requires one or we choose to give one.

Price changes. We may change prices or plan contents. Changes to a plan you are subscribed to take effect at your next billing period after we give you at least 14 days' notice by text message to your account number or by email if we have one.

11. Third-party clients and providers

The AI agent or MCP client you connect (for example Grok, Claude or ChatGPT) is provided by a third party under its own terms; Manu Labs, LLC does not control what your agent decides to do with the tools the Service exposes. The Service itself relies on third-party providers for telephony, text messages and recordings, for the AI models that run and review conversations, for payments and for hosting; they are listed in the Privacy Policy. We are not responsible for the availability or conduct of these third parties, but we remain responsible to you for the Service under these Terms.

12. Intellectual property

The Service, its pages, software, design and documentation belong to Manu Labs, LLC or its licensors, and nothing in these Terms transfers them to you. We grant you a limited, revocable, non-exclusive licence to use the Service in accordance with these Terms. You keep whatever rights you have in the objectives and context you supply and in your calls; you grant us the licence needed to place your calls, produce transcripts, recordings and results, show them to you and your agents, and operate, secure and improve the Service. If you send us feedback we may use it without obligation to you.

13. Suspension and termination

You may stop using the Service at any time; to have your account removed, email [email protected] from a channel we can tie to your number. We may suspend or terminate your account, refuse calls or disconnect agents at any time, with or without notice, if we believe you have broken these Terms, if a carrier, provider, regulator or law-enforcement body requires it, if your account creates risk for us or for the people called, or if we discontinue the Service. On termination, sections 5, 7, 12 and 14 to 17 survive, and amounts already paid are not refunded except as section 10 provides.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, MANU LABS, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT CALLS WILL CONNECT OR ACHIEVE THEIR OBJECTIVE, THAT SCREENING WILL CATCH IMPROPER REQUESTS, OR THAT TRANSCRIPTS, RECORDINGS AND RESULTS WILL BE ACCURATE OR COMPLETE.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MANU LABS, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND FIFTY U.S. DOLLARS (US$50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

16. Indemnification

You will defend, indemnify and hold harmless Manu Labs, LLC and its members, managers, employees, contractors and providers from and against any claim, demand, investigation, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or relating to any call placed through your account or by an agent you connected, the objectives and context you or your agents supply, your breach of these Terms, or your violation of any law or of the rights of any person, including the person called.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. You agree to raise any dispute with us first, by email to [email protected], and to spend at least 30 days trying in good faith to settle it before filing a claim. Any dispute that is not resolved will be brought exclusively in the state and federal courts located in Texas, and you consent to their jurisdiction. To the extent permitted by law, you and we each waive any right to a jury trial and to bring or join a class or representative action. Nothing in this section prevents either of us from seeking an injunction or bringing a claim in small-claims court.

18. Changes to these terms

We may update these Terms. The effective date at the top shows the current version. For material changes we will give notice on staging.patchmcp.com, by text message to your account number, or by email if we have one, before the change takes effect; continuing to use the Service after that date means you accept the updated Terms. If any provision of these Terms is found unenforceable, the rest remains in effect. These Terms and the Privacy Policy are the whole agreement between you and Manu Labs, LLC about the Service. You may not assign them; we may assign them to a successor of the Service.
